Welcome to Owlio! These Terms of Service ("Terms") govern your access to and use of the Owlio platform, website, and services (collectively, the "Service"). By accessing or using Owlio, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Owlio, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use our Service.

2. Eligibility

You must be at least 18 years old to create an account or use Owlio. By using our Service, you represent and warrant that you meet this requirement.

3. Account Types

3.1 User Accounts (Free)

User accounts are free and allow you to:

  • Search for service providers

  • View provider profiles and reviews

  • Leave reviews for services you've received

  • Contact service providers

3.2 Provider Accounts

Provider accounts allow businesses and service providers to:

  • Create a business profile

  • List services, pricing, and photos

  • Receive and respond to reviews

  • Connect with potential clients

Pricing:

  • Free trial period: 6 months (January 2026 - June 2026)

  • After trial: $30 CAD per month

  • Payment is required to maintain an active provider profile after the trial period

4. Account Registration and Security

4.1 Registration

You agree to:

  • Provide accurate, current, and complete information

  • Maintain and update your information

  • Keep your password secure and confidential

  • Notify us immediately of any unauthorized access

4.2 Account Responsibility

You are responsible for all activity that occurs under your account. Owlio is not liable for any loss or damage arising from your failure to maintain account security.

5. Provider Responsibilities

5.1 Accurate Information

Service providers must:

  • Provide truthful and accurate information about their services

  • Keep pricing, availability, and service descriptions current

  • Maintain proper licensing and insurance as required by law

  • Comply with all applicable local, provincial, and federal laws

5.2 Prohibited Services

Providers may not advertise services that:

  • Are illegal or promote illegal activity

  • Involve adult content or services

  • Violate intellectual property rights

  • Are fraudulent or deceptive

5.3 Independent Contractors

Service providers are independent contractors. Owlio does not employ service providers and is not responsible for their actions, services, or conduct.

6. User Responsibilities

6.1 Appropriate Use

Users agree to:

  • Use the Service for lawful purposes only

  • Interact respectfully with providers and other users

  • Provide honest and accurate reviews

  • Not misuse or attempt to manipulate the platform

6.2 Prohibited Conduct

Users may not:

  • Create fake accounts or impersonate others

  • Post false, misleading, or defamatory reviews

  • Harass, threaten, or abuse providers or other users

  • Attempt to circumvent payment systems or fees

  • Scrape, copy, or misuse platform content

  • Use automated systems (bots) to interact with the Service

7. Reviews and Content

7.1 User-Generated Content

By posting reviews or other content on Owlio, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content on our platform.

7.2 Review Guidelines

Reviews must:

  • Be based on genuine experiences

  • Be honest and factual

  • Not contain offensive, abusive, or discriminatory language

  • Not violate privacy or confidentiality

  • Not include promotional content or spam

7.3 Content Moderation

Owlio reserves the right to remove, edit, or reject any content that violates these Terms or our community guidelines.

8. Payment and Fees

8.1 Provider Subscription

  • Provider accounts are billed monthly at $30 CAD after the free trial period

  • Payment is due at the beginning of each billing cycle

  • Failure to pay may result in account suspension or termination

8.2 Refund Policy

  • Trial period cancellations: No charge

  • Monthly subscriptions: No refunds for partial months

  • Annual subscriptions: Refunds calculated on a pro-rata basis for unused months

8.3 Fee Changes

Owlio reserves the right to modify fees with 30 days' notice to existing providers. Continued use of the Service after fee changes constitutes acceptance.

9. Transactions Between Users and Providers

9.1 Direct Relationship

All transactions for services occur directly between users and providers. Owlio is not a party to these transactions.

9.2 No Guarantee

Owlio does not:

  • Guarantee the quality, safety, or legality of services offered

  • Verify credentials, backgrounds, or qualifications of providers

  • Warrant that providers will fulfill their obligations

  • Assume responsibility for disputes between users and providers

9.3 User Responsibility

Users are responsible for:

  • Evaluating providers before engaging their services

  • Verifying credentials, insurance, and licensing

  • Negotiating terms and payment directly with providers

  • Resolving any disputes with providers

10. Intellectual Property

10.1 Owlio's Property

All content, features, and functionality of the Service (including text, graphics, logos, and software) are owned by Owlio and protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal or business purposes in accordance with these Terms.

10.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of our platform

  • Reverse engineer or attempt to extract source code

  • Remove copyright or proprietary notices

  • Use our trademarks without permission

11. Privacy and Data

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using account settings.

12.2 By Owlio

We may suspend or terminate your account if you:

  • Violate these Terms

  • Engage in fraudulent or illegal activity

  • Abuse the platform or other users

  • Fail to pay required fees (for providers)

12.3 Effect of Termination

Upon termination:

  • Your access to the Service will cease

  • Your profile and content may be removed

  • You remain liable for any outstanding fees

  • Provisions that should survive termination will remain in effect

13. Disclaimers

13.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13.2 No Guarantee

Owlio does not guarantee:

  • Uninterrupted or error-free service

  • The accuracy or reliability of content

  • That defects will be corrected

  • The security of data transmission

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWLIO SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, or business opportunities

  • Damages arising from your use or inability to use the Service

  • Damages related to interactions with other users or providers

  • Damages exceeding the amount paid to Owlio in the past 12 months (for providers) or $100 CAD (for users)

15. Indemnification

You agree to indemnify and hold harmless Owlio, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any rights of another party

  • Your conduct in connection with the Service

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.

16.2 Jurisdiction

Any disputes shall be resolved in the courts of Quebec, and you consent to the exclusive jurisdiction of such courts.

16.3 Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally.

17. General Provisions

17.1 Modifications

We may modify these Terms at any time. We will notify users of material changes via email or platform notice. Continued use after changes constitutes acceptance.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

17.3 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Owlio.

17.4 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

17.5 Assignment

You may not assign or transfer these Terms. Owlio may assign these Terms without restriction.
